Terms of Service

Taskabeez is a subscription software platform provided by Taskabeez Limited, a private company limited by shares incorporated in the Republic of Mauritius (Company No. 237155, registered address La Louisa, Bois Rouge, Pamplemousses, Mauritius) ("Taskabeez," "we," "us," "our").

Taskabeez uses artificial intelligence to help construction professionals manage contracts, track deadlines, and identify contractual and commercial risks across FIDIC, NEC4, JCT, AIA, and other standard forms of contract.

Taskabeez is a tool to assist qualified professionals. It is not a substitute for professional judgment.

Taskabeez is not a law firm, a quantity surveying practice, or a project management consultancy. Nothing produced by Taskabeez — including AI-generated analysis, draft notices, proposals, or reports — constitutes legal advice, quantity surveying advice, or professional construction advice.

AI-generated output may contain errors, omissions, or inaccuracies. You must independently verify all AI output — including clause references, notice deadlines, valuations, and entitlement assessments — with a qualified professional before relying on it or taking any contractual action based on it.

You are responsible for all decisions made using Taskabeez, and for verifying all AI output before acting on it. Taskabeez is not responsible for missed deadlines, incorrect valuations, failed claims, liquidated damages, or any other commercial loss arising from your use of, or reliance on, the platform.

Nothing in this section limits our responsibility for things that cannot lawfully be excluded, such as loss caused by our fraud or wilful default.

You must be at least 18 years old and have authority to bind the organisation you represent (if applicable) to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You must accept these Terms and our Privacy Policy before creating an account.

Taskabeez is offered on the following tiers: Free Clipboard, Starter, Professional, Enterprise, and Consultant retainer tiers (Solo, Team, Firm), as described on our pricing page at the time of your subscription.

• Paid subscriptions renew automatically each billing period (monthly or annual, as selected) until cancelled.
• We will give at least 30 days' notice of any price change before it takes effect on your next renewal.
• You may cancel at any time; cancellation takes effect at the end of your current billing period. Your account will then move to the Free Clipboard tier, with a 30-day grace period during which your existing projects remain accessible before older projects are archived (you may export your data at any time during this period).
• Monthly subscriptions are non-refundable for partial periods. Annual subscriptions cancelled mid-term may be eligible for a pro-rata refund of unused months, at our discretion, unless otherwise stated at purchase.
• Payments are processed by Paddle.com Market Limited, acting as our authorised reseller and merchant of record. Paddle handles payment collection, tax, and refund processing on our behalf.

If you choose to connect an email account (Gmail or Outlook), you consent to Taskabeez accessing and analysing incoming emails to identify contractually significant events (such as instructions, notices, or payment correspondence) related to your connected projects.

By connecting a mailbox, you confirm you have the authority to do so. Email content is processed by our AI systems and stored encrypted. You may disconnect email monitoring at any time from Settings, which stops future access immediately.

Taskabeez's AI agents continuously review your project data and may identify potential contractual or commercial risks. These are presented to you as proposals in the Consultant Log.

No communication, document, or action is ever sent or executed automatically. Every proposal requires your explicit review and approval. By clicking "Approve," you instruct Taskabeez to carry out the specific action described. You remain responsible for the content and consequences of any action you approve.

You retain ownership of all data you upload to Taskabeez and of all AI-generated outputs produced from your data.

We do not use your project data or documents to train AI models.

You grant us a limited licence to host, process, and analyse your data solely to provide and improve the Service to you.

We treat your project data as confidential and will not disclose it to third parties except: (a) to subprocessors who help us provide the Service (see Privacy Policy), (b) where required by law, or (c) with your consent.

To the maximum extent permitted by law:

• Our total liability to you for any claim arising from these Terms or your use of the Service is limited to the total fees you paid us in the 12 months before the claim arose.
• We are not liable for indirect, consequential, or special losses, including lost profits, lost contracts, or lost data.
• We are not liable for losses arising from your reliance on AI-generated output without independent professional verification, as required under Section 2.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or fraud.

We may suspend or terminate your account if you materially breach these Terms, misuse the Service, or fail to pay applicable fees, with notice where practicable. You may terminate by cancelling your subscription at any time (see Section 5).

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

These Terms are governed by and construed in accordance with the laws of the Republic of Mauritius, and the parties submit to the exclusive jurisdiction of the courts of Mauritius, without regard to conflict of law principles.
